Selling on ChatGPT and AI shopping agents: taxes and accounting

Shoppers can now find and buy products inside ChatGPT, Microsoft Copilot and Google’s AI surfaces. The tax and accounting questions are simple to ask and easy to get wrong: who is the seller, who collects sales tax, and how do these orders land in your books? Here is what the platforms’ own documents say, as of October 2026.

If I sell on ChatGPT, who collects the sales tax?

You do. OpenAI’s documentation says OpenAI is not the merchant of record; the merchant takes payment and calculates and charges sales tax. ChatGPT orders are your own direct sales and count toward each state’s nexus threshold. Your Virtual CPA, a licensed CPA firm, helps online sellers set up tax and books for AI channels. What agentic commerce is, as of October 2026

    • ChatGPT Instant Checkout. On September 29, 2025, Stripe announced Instant Checkout in ChatGPT, starting with US Etsy sellers, with Shopify merchants to follow.
    • Agentic Commerce Protocol (ACP). An open standard co-developed by Stripe and OpenAI. Merchants share a product feed, and checkout runs through the merchant’s own systems and payment processor. Stripe’s Shared Payment Token lets ChatGPT pass payment to the merchant without exposing the buyer’s card details. See OpenAI’s ACP key concepts.
    • Shopify Agentic Storefronts. Shopify’s channel for selling in AI conversations. In March 2026, Shopify said its merchants can sell through ChatGPT, Microsoft Copilot, AI Mode in Google Search and the Gemini app. In ChatGPT, shoppers finish the purchase on the merchant’s store in an in-app browser.
    • Product feeds in ChatGPT. OpenAI’s docs say onboarding product feeds is currently available to approved partners.

These programs are changing fast. Check the current terms in your admin before you rely on any single detail.

Who is the merchant of record, and why it matters for tax

OpenAI’s developer documentation is direct: “OpenAI is not the merchant of record in the Agentic Commerce Protocol.” The merchant selling the goods and taking payment is. The customer sees the merchant’s name on the card statement, and OpenAI’s production guide says the merchant handles refunds and chargebacks.

OpenAI’s docs also say the merchant “calculates and charges sales tax.” Shopify says merchants remain the merchant of record for ChatGPT sales through Agentic Storefronts and keep the customer relationship and data.

For tax purposes, that makes an AI channel order your own direct sale. It is not like an Amazon or Etsy marketplace sale, where the platform collects and remits the tax for you.

Sales tax and the marketplace facilitator question

State marketplace facilitator laws make a platform collect sales tax when it facilitates a sale and handles the payment, directly or through others. Amazon, Etsy, Walmart and TikTok Shop collect under these laws.

As of October 2026, we have not found any state statute, regulation or ruling that addresses AI shopping agents by name. The law here is unsettled. Based on the documented flows:

    • Where you take payment through your own processor or Shopify Checkout, you are collecting the money, so plan on collecting and filing sales tax yourself in states where you have nexus.
    • Where a platform takes the payment itself and pays you later, it may meet a state’s facilitator definition. Read the platform’s terms and watch for state guidance before you stop collecting.

AI channel sales are direct sales, so they count toward each state’s economic nexus threshold, including states like Virginia that count only direct sales.

How AI channel orders show up in your books

    • Orders. Shopify says ChatGPT orders appear in your admin with referral attribution, and its Agentic Storefronts page shows orders and sales by AI channel.
    • Revenue. Record the gross sale and shipping charged, the same as website orders. Sales tax collected is a liability, not revenue.
    • Payments and fees. The payment settles through your processor, so it lands in your normal payout. Processing fees and any channel fees are selling expenses. See reconciling Shopify payouts.
    • Refunds and chargebacks. These are yours as merchant of record. Book them as you would for any direct order.
    • Margin by channel. Tag AI channel orders in your reports or accounting software so you can see whether the channel is profitable after fees, returns and ad spend.

    Frequently asked questions

You are. OpenAI’s developer documentation says OpenAI is not the merchant of record in the Agentic Commerce Protocol. The merchant selling the goods and taking payment is, and the customer sees your name on their card statement. Shopify says the same for ChatGPT sales through Agentic Storefronts.

Not in the setups documented as of October 2026. Under the Agentic Commerce Protocol, OpenAI’s docs say the merchant calculates and charges sales tax. Through Shopify Agentic Storefronts, sales run through Shopify Checkout, so your own Shopify tax settings apply. You collect and file in states where you have nexus, as you would for your own website.

As of October 2026, we have not found any state guidance that addresses AI shopping agents directly. State marketplace facilitator laws generally look at whether a platform facilitates the sale and collects payment. In the documented ChatGPT flows, the merchant takes payment, which points to the merchant collecting. A platform that takes payment itself could be treated differently. Watch for state guidance.

Like any other order through your store. Shopify says ChatGPT orders appear in your Shopify admin with referral attribution, and the payment settles through your usual processor. Record the gross sale, sales tax collected and processing fees the same way you do for website orders, and tag the channel if you want margin by channel.

Shopify said in March 2026 that merchants pay no transaction fees beyond standard processing rates for ChatGPT sales through Agentic Storefronts. Fees can change and other AI channels may have their own terms, so check the current terms in your admin and record any channel fees as a selling expense.

Agentic commerce means an AI assistant helps a shopper find, compare and buy products inside a conversation. The merchant shares a product feed, the assistant shows the products, and checkout runs through the merchant’s systems. OpenAI and Stripe co-developed the Agentic Commerce Protocol as an open standard for this.

Yes, in practice. They are your direct sales into each state, so they count toward each state’s economic nexus threshold the same as your website sales. Track sales and order counts by state across every channel, including AI channels.
