    Who This Is For

    Pre-Revenue Founders

You are building your product and need to set up your entity, accounting system, and expense tracking correctly from the start so you are not cleaning up a mess when investors come knocking.

    Seed & Series A Startups

You have raised or are raising capital and need GAAP-compliant financial statements, monthly close processes, and board reporting that meets investor expectations.

    SaaS & Tech Companies

You need revenue recognition guidance under ASC 606, R&D credit documentation, and metrics tracking including MRR, ARR, churn, and CAC that align with your financial statements.

    Bootstrapped Small Businesses

You are self-funded and need to understand whether an LLC, S-Corp, or C-Corp saves you the most in taxes, plus ongoing bookkeeping that keeps pace as you scale.

    Our Process

    1

    Founder Consultation

We discuss your business model, funding plans, and growth trajectory. You leave with a recommendation on entity type, an understanding of your tax obligations, and a clear plan for getting your accounting set up correctly.

    2

    Entity Formation & System Setup

We help you form your entity, obtain your EIN, and configure your accounting system with a startup-appropriate chart of accounts. If you have existing transactions, we categorize and record everything to establish a clean starting point.

    3

    Monthly Close & Reporting

Each month we reconcile all accounts, categorize transactions, and deliver an income statement, balance sheet, and cash flow statement. For funded startups, we also prepare burn rate dashboards and investor reporting packages.

    4

    Tax Planning & Credit Optimization

We evaluate your eligibility for R&D tax credits, QSBS exclusion, and other startup-specific incentives. At year end, we prepare your business and personal returns with a focus on minimizing your tax liability while staying fully compliant.

    Frequently Asked Questions

It depends on your funding plans and tax situation. If you plan to raise venture capital, a Delaware C-Corp is almost always required because VCs need preferred stock classes that LLCs and S-Corps cannot easily offer. If you are bootstrapping and want to minimize self-employment tax, an S-Corp election can make sense once net income consistently exceeds $50,000 to $60,000. An LLC with default tax treatment works well in the earliest stages when simplicity is more valuable than tax optimization. We model the actual dollar impact for your specific situation before recommending a structure.

The federal R&D tax credit under IRC Section 41 rewards companies that develop or improve products, processes, software, or formulas. Startups with less than $5 million in gross receipts and fewer than five years of revenue can apply up to $500,000 of the credit against payroll taxes, which is valuable even if you have no income tax liability. Qualifying activities include software development, hardware prototyping, algorithm design, and certain engineering work. We evaluate your activities, document the qualified research expenses, and prepare Form 6765 as part of your tax return.

At a minimum, you should engage a CPA before your first tax filing, when you raise outside capital, or when you start generating revenue. Many founders try to manage their own books in the early months, which is fine for a few transactions, but the cleanup cost grows quickly once things like payroll, revenue recognition, and multi-state sales tax enter the picture. Our typical recommendation is to set up the accounting system correctly from day one with professional guidance and then hand off monthly bookkeeping once transaction volume makes self-management impractical.

Investors expect GAAP-compliant financial statements, clean cap tables, filed tax returns, and clear metrics. We produce monthly financials that follow GAAP, maintain a capitalization table that reflects all equity issuances and SAFEs, build financial projections that tie to your operating assumptions, and prepare a board reporting package. When you enter due diligence, we work directly with the investor accounting team to answer questions and provide supporting documentation.
